Acquisition agent (Aanhuurmakelaar)
A specialized real estate broker who represents the interests of the tenant, assisting in the search for suitable office space and negotiating the lease terms.

Advertising the rent (Afficheren van de huurprijs)
The public disclosure or advertising of the rental price in advance on the internet, window posters, or other promotional materials.

Arrears / Rent overdue (Achterstallige huur)
When a tenant fails to meet their payment obligations. If the tenant does not pay after multiple reminders, the landlord can summon them before the subdistrict court (kantonrechter in NL, vredesrechter in BE).

Bank guarantee / Bank warranty (Bankwaarborg)
An irrevocable commitment where a bank guarantees that it will pay the tenant's rent debt or damages up to a maximum amount to the landlord if the tenant defaults. The commercial market standard is typically 3 months' rent.

BIV certification / BIV number
*(Applicable in Belgium only)* The mandatory statutory recognition and unique identification number required to practice as an independent real estate broker in Belgium, issued by the Professional Institute of Real Estate Agents (BIV).

Branch (Branche)
A sector or segment of the economy; a collective term for companies active within the same category of products or services (e.g., the IT sector or creative branch).

Branch restriction (Branchebeperking)
A clause in a lease agreement (primarily relevant for retail or commercial spaces) dictating which business activities may or may not be conducted in the property, often to regulate competition within the same building or shopping center.

Brokerage fee / Commission (Courtage)
The fee or commission a real estate broker receives as compensation for their services upon the successful lease, sale, or purchase of a property.

Chamber of Commerce / KvK
The official body in the Netherlands (Kamer van Koophandel) responsible for registering companies in the Commercial Register, advising entrepreneurs, and stimulating the regional economy. In Belgium, this registration is handled by enterprise counters via the Crossroads Bank for Enterprises (KBO).

Commercial real estate / BOG
A collective term for property intended for business or commercial purposes, including office spaces, industrial properties, logistics real estate, and retail spaces.

Commercial real estate broker (Bedrijfsmakelaar)
A real estate broker specializing in commercial property (BOG) who mediates the buying, selling, renting, or leasing of business assets like offices and warehouses.

Deed of delivery (Leveringsakte / Transportakte)
The official notarial deed that permanently transfers legal ownership of a property from the seller to the buyer, following the signing of the purchase agreement.

Enterprise counter (Ondernemingsloket)
*(Applicable in Belgium only)* A government-recognized organization where starting and existing entrepreneurs arrange mandatory administrative formalities, such as registration with the Crossroads Bank for Enterprises (KBO).

Funda in business
An online platform in the Netherlands specifically dedicated to commercial real estate where brokers list business properties. Flexas.com serves as an independent alternative providing active tenant guidance.

Incentives
Financial or material concessions offered by a landlord to induce a tenant to sign a lease. Common examples include rent-free periods or landlord contributions to fit-out costs (flooring, partitioning, etc.).

Land Registry (Kadaster)
A public government register tasked with accurately recording and maintaining ownership and mortgage rights for all registered properties and land to ensure legal certainty.

Lease agreement / Rental contract (Huurovereenkomst)
The binding contract whereby the landlord agrees to grant the tenant the use of an office space or property, and the tenant commits to consideration (rent). The law strictly distinguishes regular commercial leases from agricultural tenancies (pacht).

Lease proposal / LOI (Huurvoorstel)
A document (often a Letter of Intent) outlining the main commercial and legal principles for a future lease agreement, serving as the official basis for further contract negotiations.

Lease term / Rental duration (Huurtermijn)
The agreed period for which the lease agreement is entered into. Traditional offices often use a fixed 5-year term (with a 5-year extension option), but flexible contracts with shorter terms or monthly cancellation are increasingly common.

Lease terms / Rental conditions (Huurvoorwaarden)
All rules, obligations, and agreements applicable to the lease. These consist of the clauses in the main contract and the accompanying General Provisions (such as the ROZ models in the Netherlands).

Market research (Marktonderzoek)
The systematic collection and analysis of data regarding a specific market, target group, or real estate region to understand current rental prices, vacancy rates, and demand.

Mediation agreement (Bemiddelingsovereenkomst)
A written contract where a real estate broker or platform (such as Flexas.com) is commissioned by a client (tenant or landlord) to intermediate in establishing a lease or purchase agreement.

Notary (Notaris)
A public official legally authorized to draw up binding, authentic deeds (such as deeds of delivery or mortgage deeds) when real estate is transacted or a new legal entity is established.

Notary fees (Notariskosten)
The honorarium and additional expenses charged by a notary for performing the legal tasks surrounding a property transaction or corporate incorporation.

NVM
The Dutch Association of Real Estate Brokers and Appraisers, which is the largest professional organization for real estate experts in the Netherlands.

Office search (Aanhuren)
The process of renting or leasing office space or an office building. This can be done independently via platforms like Flexas.com or by hiring a tenant acquisition broker.

Professional indemnity insurance (Beroepsaansprakelijkheidsverzekering)
Insurance covering the financial consequences of professional errors (such as incorrect advice or negligence) made by a real estate broker, protecting both the broker and the client.

PROVADA

Real estate broker / Agent (Makelaar)
An independent professional who mediates real estate transactions. In the commercial sector, this includes landlord brokers (representing owners) and acquisition brokers (representing tenants).

Rental price / Rent (Huurprijs)
The consideration paid periodically (usually monthly or quarterly) by the tenant to the landlord. In commercial real estate, it is typically expressed per square meter per year (e.g., €150/m²/year, excluding VAT and service charges).

Resolutive conditions (Ontbindende voorwaarden)
Specific clauses in an agreement stating that the transaction can be cancelled free of charge if a certain uncertain event does not occur, such as failing to secure financing or a required environmental permit.

Special provisions / Other clauses (Overige bepalingen)
Custom, tailored agreements added to the end of a lease contract that deviate from or supplement the standard General Provisions.

Tenant's duty to investigate (Onderzoeksplicht)
The legal obligation of a buyer (and to a certain extent, a tenant) to thoroughly investigate prior to a transaction whether the property has defects, if zoning laws permit the intended use, and if any encumbrances rest on the property.

Transfer costs (Overdrachtskosten / Transportkosten)
The total expenses associated with the legal transfer of real estate ownership, consisting of notary fees for drafting and registering the deed of delivery and the applicable transfer tax.

Valuation / Appraisal report (Taxatierapport)
The official, written document in which an appraiser substantiates their property valuation based on market references, property condition, and location; crucial for banks when granting real estate financing.

Valuation costs (Taxatiekosten)
The fee charged by an appraiser for inspecting the property and compiling the official valuation report.

Valuer / Appraiser (Taxateur)
An independent, certified, and competent expert who officially determines and records the objective market value or reinstatement value of a property.
